Terms and Conditions for ROCK TECH DIGITAL LTD

  1. Introduction

These terms and conditions (the “Agreement”) set forth the terms and conditions under which (“ROCK TECH DIGITAL LTD”) provides staffing services to clients who engage the Company to provide IT staff augmentation services.

  1. Scope of Services

The Company will provide Clients with IT staff augmentation services to supplement their existing IT staff. The Company will use reasonable efforts to provide qualified, skilled, and experienced IT professionals who meet the specific requirements of the Client.

  1. Staffing Process

The Company will use its best efforts to identify, evaluate, and engage qualified IT professionals to provide services to the Client. The Client agrees to cooperate with the Company in the staffing process, including providing timely feedback on the performance of the IT professional and providing access to relevant information.

  1. Engagement of Staff

The Client will have the opportunity to interview and approve the engagement of any IT professional provided by the Company. Once approved, the IT professional will be deemed to be engaged by the Client and subject to the Client’s direction and control.

  1. Fees

The Company will charge the Client a fee for the services provided. The fee will be agreed upon by the parties in advance of the engagement of the IT professional. The fee will be based on the rate of the IT professional plus any additional expenses agreed upon by the parties.

  1. Payment

The Client agrees to pay the Company in accordance with the payment terms agreed upon by the parties. Payment terms will be specified in the payment link provided to the Client by the Company. The Client agrees to pay all fees and expenses promptly.

  1. Term and Termination

The Agreement will remain in effect until terminated by either party upon written notice. Either party may terminate the Agreement for any reason upon thirty (30) days’ written notice.

  1. Confidentiality

The parties agree to keep all information related to the staffing process and the IT professional confidential. The Client agrees not to disclose any information about the IT professional to any third party without the Company’s prior written consent.

  1. Liability

The Company’s liability for any damages arising from the services provided under this Agreement will be limited to the fees paid by the Client for those services. The Company will not be liable for any damages arising from the actions or omissions of the IT professional engaged by the Client.

  1. Governing Law

This Agreement will be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.

  1. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

By accepting the services provided by the Company, the Client acknowledges that it has read and understood these terms and conditions and agrees to be bound by them.
